1.1 General Terms
UpOrtho is the trade name of UPORTHO STORE SRL, a legal entity headquartered in Bucharest, Romania, Alexandru Vlahuță Street, No. 5, bl. M47, sc. 2, ap. 28, Sector 3, registered with the Trade Register under number J40/17865/2018, with VAT ID RO40306492, hereinafter referred to as UpOrtho.

By using the uportho.com website, the user or, as the case may be, the legal entity buyer (hereinafter referred to as the "Buyer") expresses agreement with the Terms and Conditions described below (hereinafter referred to as the "Contract").
As the author/owner/administrator of the website www.uportho.com, UPORTHO STORE SRL reserves the right to change and update its content, as well as the Privacy Policy, Terms and Conditions of use, without prior notice. Therefore, please visit this section periodically to check the terms and conditions you have agreed to abide by.
The website is exclusively dedicated to legal entities engaged in the provision of dental assistance services (CAEN code 8623). The use and registration on this site is exclusively for these companies and their representatives.
The Contract may be unilaterally modified by the Seller depending on the evolution of legal provisions, without the obligation to specifically notify this in advance.
By creating an account and/or placing an order, the Buyer agrees to receive commercial electronic messages from the Seller at the provided email address, understanding that as a result of the contractual relationship between the parties (business-to-business relationship), the Seller may use the provided email address as buyer information.
Upon creating an account within the online store uportho.com, the Buyer agrees to the specific communication methods, namely email/phone, regarding future orders placed through the account and future campaigns, discounts, offers, and events organized by the Seller.
Submitting an order on the site will be followed by the receipt of an automated email confirming the order placement. Such confirmation constitutes a firm acceptance of the order, implying the conclusion of the contract between professionals. Any phone discussions, email communications, or any other methods of remote communication with the Seller's representatives confirming the delivery of the products, in case the professional is not contacted by an UpOrtho representative, the contract will not be considered concluded, without any obligation on the part of the Seller. The Buyer understands that the mere automatic confirmation of the order immediately after placement does not generate contractual obligations on the part of UpOrtho.

Article 2 - Conclusion of the Contract and Orders

2.1 Product Characteristics
The Buyer can select one or more products from the various categories presented on the UpOrtho website.
UpOrtho may modify the assortment of products sold on its website at any time, especially based on its suppliers' constraints, without affecting the orders already registered by the Buyer. Before placing an order, the Buyer can inform themselves on the UpOrtho website about the essential characteristics of the product(s) they wish to order.
The products comply with the current legislation in Romania.
For any questions regarding products and their use, any additional questions, or requests for advice, the Buyer can contact the UpOrtho team at the phone number +40318080008. Additionally, the Buyer can visit the UpOrtho showroom in Bucharest for personalized advice and to test the products sold by UpOrtho.

2.2 Availability
The offers presented by UpOrtho are valid as long as they are displayed on the website, within the limits of available stock.

2.3 Order
Any order implies the acceptance of the Sales Terms and Conditions, the General Terms of Use of the website, and the provisions of the documents "Processing of Personal Data," "Data Protection and Cookies," without prejudice to any specific contractual conditions agreed by the Parties, if any.
The Buyer can thoroughly check the Order and correct any errors. From the moment the Buyer confirms the Order by clicking the "Validate" button, it is considered that they have accepted the content and conditions of that specific order and, in particular, the Terms and Conditions, understanding that the respective order implies an obligation to pay on their part, the prices, volumes, characteristics, quantities, and delivery time of the products sold and ordered by the Buyer.
After validating this stage, the Buyer can only cancel the order based on the right of withdrawal; otherwise, the sale will be final.
The order will be confirmed by UpOrtho by sending an electronic notification to the Buyer ("electronic message to confirm the order").
A second electronic message will be sent to the Buyer at the time of shipment. At this point, UpOrtho will be entitled to collect the price of the Order.
UpOrtho recommends that the Buyer keep both electronic messages in paper or electronic format. The Buyer is informed that both electronic messages will be sent to the email address provided by the Buyer at the time of registration or identification, prior to placing the order.

2.4 Contract Duration
This contract is concluded for a determined period, namely for the duration necessary to deliver the order placed through the UpOrtho online store. Once the order is delivered, the contract is considered honored, and the Seller will only be responsible for the legal and contractual obligations arising after the product is delivered until the expiration of the warranty period for the purchased product.

Article 3 - Discounts
In the online store, we offer various types of discounts. If multiple types of discounts can apply to a product, they do not accumulate. Any discount code can be used only once, unless explicitly stated otherwise. In case of abusive multiple use, the seller has the right to refuse the use of the discount code. Certain codes are dedicated to a distinct category of users. The validation of these codes is done by proving membership in these categories (e.g., resident doctors).

Article 4 - Payment Methods
At the time of placing the order, the Buyer guarantees UpOrtho that they have the necessary authorizations to use the chosen payment instrument for their order.

4.1. Bank Cards
The bank cards accepted on the UpOrtho website are: Visa, Maestro, and Mastercard. These debit or credit cards must be issued by a bank or financial institution based in Romania. Payment by card is made through the online payment operator STRIPE ( https://www.stripe.com). Payment can be made at the time of placing the order or later from the customer account or from the email containing the invoice.
